European Whistleblowing Directive
“Directive (EU) 2019/1937” on the on the protection of persons who report breaches of Union” - and its transpositions in the European countries, seeks to create a safe and uniform environment for individuals to report breaches at the workplace without fear of retaliation. In view of the above, and with the aim to always encourage Cardinal Health employees and stakeholders to report any potential violation, Cardinal Health established the “Whistleblower Policy for Cardinal Health Affiliates within the EU”.
The policy is applicable to Cardinal Health legal entities in Ireland, Italy, Germany, Malta and Spain (which are the only legal entities currently in scope), and it details all the steps which a reporting person can take to report any actual or suspected breaches at the workplace. The policy includes what matters can be reported, the options/channels available and contact information for a reporting person to submit the reports through internal reporting as well as external reporting in the respective local countries and how does Cardinal Health deal with the report. The policy also reinforces the confidentiality of the identity of reporting persons and any facilitator mentioned in the report as well as the protection against any kind of retaliation. The policy is addressed to employees and to any other stakeholders (vendors, customers, self-employed persons, trainees, job applicants, contractors, shareholders, directors, among others).
The employees of the Cardinal Health Ireland Unlimited Company, Ireland Manufacturing Limited, Germany Manufacturing GmbH, Italy 509 Srl, Malta 212 Limited and Spain 511 S.L. California Compliance Program
Cardinal Health is committed to high standards of ethical conduct and corporate compliance. To that end, we have established a Comprehensive Compliance Program composed of the Cardinal Health Standards of Business Conduct, as well as supplemental internal policies and procedures that address the statutory requirements of Cal. Health and Safety Code §§119400-119402 (the California Law) to the extent applicable to its business. If there is any ambiguity or inconsistency as between the Standards of Business Conduct and these policies and procedures, the policies and procedures will control and be deemed to be the operative sections of the Comprehensive Compliance Program with respect to the provisions at issue.
The Comprehensive Compliance Program recognizes that compliance is dynamic. It provides for revisions when necessary to reflect changes in company operations and applicable laws.
As of July 1, 2024, to our knowledge, we are in material compliance with the Comprehensive Compliance Program and the California Law as described above. Cardinal Health established ¥2,000 as the annual spending limit for gifts, promotional materials, or items or activities that Cardinal Health may provide to the identified individuals under, and as required by, the California Law. The Comprehensive Compliance Program, including the annual spending limit, is subject to ongoing review and accordingly, may be updated from time to time.
